Terms of Service

Welcome to Listing Stager. These Terms of Service (“Terms”) govern your access to and use of our virtual staging platform and related services (the “Service”). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Listing Stager provides an AI-powered virtual staging platform that allows real estate professionals to transform property photographs. Our Service includes:

  • Virtual staging — Adding furniture and décor to empty room photographs
  • Room clearing — Removing existing furniture from photographs
  • Image enhancement — Improving lighting and quality of photographs
  • MLS watermarking — Adding disclosure watermarks to staged images

The Service uses artificial intelligence and may involve third-party AI providers. Results may vary and are subject to the limitations described in Section 6 (AI-Generated Content).

3. User Accounts

Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and phone number. You agree to update this information to keep it current.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

Account Suspension

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.

4. Subscriptions & Payment

Subscription Plans

The Service is offered through subscription plans (Starter, Pro, and Business) with different image allowances. Each plan includes a specified number of image generations per billing period. Current pricing and plan details are available on our Pricing page.

Billing & Renewal

Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Credit Allowances & Rollover

Your subscription includes a fixed number of credits (image generations) per billing period. Unused credits roll over to the next billing period, up to one month's worth of your plan allowance. If you exceed your available credits and have enabled overage billing, additional credits will be charged at your plan's overage rate.

Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for keeping your payment information current.

Cancellation & Refunds

You may cancel your subscription at any time through your Account Settings or by contacting us. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • No refunds are provided for partial periods
  • You retain access to previously generated images until your account is deleted

Price Changes

We may change our prices at any time. Price changes will take effect at your next billing cycle after we provide you with at least 30 days' notice.

5. User Content

Your Content

“User Content” refers to any photographs, images, or other materials you upload to or create through the Service. You retain ownership of your User Content.

License Grant

By uploading User Content, you grant Listing Stager a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or account.

Your Representations

By uploading User Content, you represent and warrant that:

  • You own or have the necessary rights to the photographs you upload
  • The photographs are of real property for which you have authorization to market
  • Your use of the Service complies with all applicable laws and regulations
  • Your User Content does not violate the rights of any third party

MLS & Disclosure Requirements

You are solely responsible for ensuring that your use of staged images complies with all applicable Multiple Listing Service (MLS) rules, real estate regulations, and disclosure requirements in your jurisdiction. Many jurisdictions require clear disclosure that images have been virtually staged. We provide watermarking features to assist with compliance, but compliance remains your responsibility.

6. AI-Generated Content

Nature of AI Output

The Service uses artificial intelligence to generate staged images. AI-generated content:

  • May not perfectly match real-world furniture, dimensions, or spatial relationships
  • May contain artifacts, inconsistencies, or imperfections
  • Should be reviewed before use in marketing materials
  • Is intended for visualization purposes only and does not represent actual furnishings

No Guarantee of Results

We do not guarantee specific results, quality levels, or that the AI will successfully process every image. Results depend on input image quality, room characteristics, and AI model performance, which may vary.

Third-Party AI Providers

The Service uses third-party AI providers (including Google and Anthropic) through the OpenRouter API gateway. These providers have their own terms of service that may apply to the processing of your content.

7. Commercial Image License

License Grant to You

When you create images using the Service, you receive a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute those images for any lawful commercial purpose related to real estate marketing and sales, including but not limited to:

  • Multiple Listing Service (MLS) listings and syndication
  • Real estate websites and portals (Zillow, Realtor.com, etc.)
  • Social media marketing and advertising
  • Print marketing materials (flyers, brochures, postcards)
  • Client presentations and property tours
  • Brokerage marketing and team materials
  • Email marketing campaigns

Your Rights

You retain full commercial rights to all images you generate. We claim no ownership over your generated content. You are free to edit, crop, watermark, and modify your images as needed for your marketing purposes.

License Restrictions

While you have broad commercial rights, the following restrictions apply:

  • You may not resell generated images as stock photography or digital assets
  • You may not sublicense images to third parties for use unrelated to your real estate business
  • You must comply with applicable MLS disclosure requirements for virtually staged images

Source Photo Responsibility

You are responsible for ensuring you have the necessary rights to the source photographs you upload. The commercial license granted to generated images does not extend to underlying photographs that infringe third-party rights.

8. Acceptable Use

You agree not to use the Service to:

  • Upload content you do not have the right to use
  • Create misleading or fraudulent property representations
  • Violate any applicable laws, regulations, or MLS rules
  • Upload inappropriate, offensive, or illegal content
  • Attempt to reverse engineer, hack, or compromise the Service
  • Interfere with the Service's operation or other users' access
  • Share your account credentials or allow unauthorized access
  • Use the Service for any purpose other than property visualization

9. Intellectual Property

Our Property

The Service, including its design, features, functionality, software, and documentation, is owned by Listing Stager and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our prior written consent.

Your Staged Images

You own the staged images generated from your photographs. You may use these images for their intended purpose of marketing real estate listings, subject to applicable disclosure requirements.

Feedback

If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTIES REGARDING THE QUALITY, ACCURACY, OR SUITABILITY OF AI-GENERATED CONTENT FOR ANY PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTING STAGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your content
  • Quality, accuracy, or suitability of AI-generated images

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Listing Stager, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights

13. Termination

By You

You may terminate your account at any time through your Account Settings page or by contacting us. Upon termination, your subscription will be cancelled and your User Content will be deleted as described in our Privacy Policy.

By Us

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms. We may also terminate or suspend your access for any other reason with 30 days' notice.

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Miscellaneous

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Listing Stager regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
